By commissioning Synthrun or using this website, you agree to these terms. Individual proposals, statements of work, and signed agreements take precedence where they conflict.
2. How we scope
Every engagement starts with a written architecture plan: data flows, risks, and deliverables. We bill against that plan, not open-ended hours. Changes that expand scope are agreed in writing before work begins.
3. Fees and payment
Fees, deposits, and payment schedules are set out in each proposal. We invoice for milestones or on the agreed cadence. Late payments may pause work until resolved.
4. Intellectual property
Client-authored material remains the client's. Original work we produce (code, architecture docs, runbooks) transfers to you once fees for that deliverable or the entire engagement is paid. We may retain copies of components for support and reference.
5. Our responsibilities
We deliver to the described plan and standard of care. We do not warrant that any software will be uninterruptible or error-free, and we reserve the right to make reasonable implementation choices to match the plan.
6. Limitations of liability
To the maximum extent permitted by law, our aggregate liability under any engagement will not exceed the fees paid for that engagement in the three months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or downtime, except where this is prohibited by law.
7. Confidentiality & security
We treat your architecture, code, and commercial detail strictly confidential. We will not disclose it to a third party without your consent, and we apply least-privilege access on everything we touch.
8. Termination
Either party may end an engagement with written notice. We invoice for completed work and deliverables. Confidentiality terms and ownership rules survive the end of an engagement.
9. Governing law & contact
